1. Overview
These Terms govern the delivery of the Content‑to‑Clients Install, which includes:
Offer ecosystem & messaging strategy analysis
Dream client profile and positioning map
30 days of conversion‑ready content
A high‑impact Google Doc sales page
A 5‑email warm audience campaign
30 days of implementation support and feedback
By paying in full, you confirm acceptance of these Terms.
2. Parties
Heidi Williams Ltd. (“we”, “us”, “our”) provides strategic messaging and content services.
“You” refers to the client, who confirms they are at least 18 years old and legally able to contract.
3. Deliverables
You will receive the defined deliverables via Google Docs or PDF within the agreed timeframe.
Once deliverables have been received, we'll meet to discuss amends which will be delivered within 5 working days
4. Payment & Refund Policy
Full payment is required in advance before project commencement.
All fees are non-refundable once work begins. No refunds will be issued post-payment, including after delivery.
Payments are in GBP and include VAT at 20%
5. Inputs & Client Obligations
You agree to complete the onboarding questionnaire and attend the 90‑minute strategy session.
Timely delivery of accurate, complete input materials is essential. Delays in providing materials may impact delivery timelines—Heidi Williams Ltd. is not liable for delays caused by missing input.
6. Support & Collaboration
You receive 30 days of support via WhatsApp, beginning at delivery of the final sales assets.
This support is to help with content posting, messaging deployment, and feedback — not additional deliverable creation.
7. Intellectual Property
You receive full ownership of final deliverables upon full payment and all content is yours to use as you see fit.
We retain ownership of core frameworks, templates, and methodologies used to create your content.
You receive a perpetual license to use all deliverables for your marketing and business communications.
8. Confidentiality & Testimonials
Information you provide is confidential, but we may anonymize and use testimonials. With your consent, we would also like to use a named testimonial, but only if you are in agreement to do so - your permission will always be sought first
9. No Result Guarantee & Limitation of Liability
We aim to deliver high-quality, conversion‑aligned content.
However, no specific guarantees are made regarding income or client acquisition. Results depend on your execution, market conditions, and outreach.
Liability is limited to the total fees paid; under no circumstances are we liable for indirect or consequential damages.
10. Termination
If the contract is terminated by either party before final delivery, you remain liable for full payment for work completed up to termination.
The agreement may be terminated by written notice.
11. Indemnity
You agree to indemnify Heidi Williams Ltd. against any losses arising from your misuse of deliverables, breach of terms, or violation of applicable laws.
12. Governing Law & Dispute Resolution
These Terms are governed by English law.
Disputes will first be addressed informally. If unresolved, disputes may proceed to binding arbitration in the UK if needed.
13. Amendments & Updates
We may update these Terms at our discretion. Changes will be communicated to you. Continued use after updates signifies acceptance.
14. Entire Agreement
This document, the onboarding form, and the invoice constitute the entire agreement between you and Heidi Williams Ltd. and supersede any prior agreements.
